Job Description: Universal Music Groups seeks a highly qualified attorney for the position of Associate Director in its Business & Legal Affairs department. Reporting to the VP of Business & Legal Affairs in New York, this position will provide advice, counsel and representation in connection with the negotiations, drafting and management of documentation of a broad range of information technology, new media and transactional matters. Subject matter expertise required in information technology, intellectual property, general corporate, commercial, and privacy laws. Preference is for a lawyer who has heavy negotiations and drafting experience with agreements for back-office and front-office technology, and experience with data protection and privacy matters. Knowledge of technology business models and online business preferred. Ability to conduct risk assessments, and provide legal guidance in these matters to key stakeholders and colleagues. Experience, or at least general familiarity, with the following is preferred: 1) enterprise, mobile and web-based software development; 2) software licensing and hosted services transactions (ASP, SaaS, etc.), e-commerce and information technology transactions, including computing and telecom services; 3) ancillary business processes, including solicitations of and responses to RFPs, negotiation of customer requirements, functional specifications, and service level agreements; and 4) agreements relating to website development and operations, including search engine optimization, advertising and marketing. Experience with outsourcing agreements is a plus. The chosen candidate will provide support to individual music labels in the United States as necessary, and the worldwide information technology, business and finance groups. This position will also partner with several business teams in their development of new business models for the marketing, sale, and distribution of music and other media assets. It requires the ability to work closely with corporate executives, business unit leaders, cross functional teams, and internal and external counsel. Job Requirements: Candidates should have excellent negotiating skills, written and oral communication skills, time management skills, ability to work effectively with a diverse population in different countries, a willingness to work inside and outside normal business hours, and be able to work flexibly to meet deadlines. This position demands excellent business judgment and strategic thinking and the ability to work independently as well as collaboratively in a collegial, fast-paced team environment. Candidates will have strong analytical and problem-resolution skills, with the ability to give practical advice by balancing business needs with legal risks. Candidates must possess a J.D. from an accredited law school and be a member in good standing of the New York Bar. Candidates must have between three (3) and five (5) years of experience at a major corporation or law firm. Previous legal experience at a music, media or entertainment company is a plus.
